Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of the Sharestead AI website, platform, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

This document is a general template provided for informational purposes and does not constitute legal advice. It should be reviewed and adapted by qualified legal counsel before use, and does not represent a complete or jurisdiction-specific compliance statement on behalf of Sharestead AI.

1. Acceptance of Terms

By creating an account, requesting access, or otherwise using any part of the Service, you confirm that you have read, understood, and agree to these Terms, as well as any policies referenced within them, including our Privacy Policy. Sharestead AI may update these Terms from time to time, and continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

2. Eligibility and Account Access

Access to the Service may be limited to organizations and individuals who meet eligibility criteria determined by Sharestead AI, including but not limited to verification and onboarding requirements applicable to regulated financial environments. Sharestead AI reserves the right to approve, suspend, or decline access requests at its discretion.

You are responsible for maintaining the confidentiality of any credentials associated with your account and for all activity that occurs under your account. You agree to notify Sharestead AI promptly of any unauthorized use or suspected security breach.

3. Description of Service

Sharestead AI provides AI-driven data analysis and decision-support tools intended to assist organizations with internal analytical workflows. The Service is provided on an "as is" and "as available" basis. Sharestead AI does not guarantee that outputs generated by the Service will be accurate, complete, or suitable for any particular regulatory, financial, or business purpose, and such outputs should be independently reviewed before being relied upon.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right;
  • Reverse engineer, decompile, or attempt to extract the underlying models or source code of the Service;
  • Upload or transmit data you do not have the right to share, including data subject to confidentiality or regulatory restrictions you have not cleared for processing;
  • Interfere with the integrity, security, or availability of the Service or its infrastructure;
  • Use the Service to build a directly competing product or to resell access without authorization.

Sharestead AI reserves the right to suspend or terminate access for any account reasonably believed to be in violation of this section.

5. Customer Data

"Customer Data" refers to any data, documents, or content submitted to the Service by you or on your behalf. As between the parties, you retain ownership of your Customer Data. You grant Sharestead AI a limited license to process Customer Data solely for the purpose of providing, maintaining, and improving the Service, subject to the terms of our Privacy Policy.

You are solely responsible for ensuring that you have the necessary rights, consents, and legal basis to submit Customer Data to the Service, particularly where such data includes personal, financial, or regulated information.

6. Fees and Payment

Where access to the Service is subject to fees, such fees, billing frequency, and payment terms will be set out in a separate order form, invoice, or commercial agreement between you and Sharestead AI. Unless otherwise agreed in writing, fees are non-refundable. Late payments may result in suspension of access until outstanding amounts are resolved.

7. Intellectual Property

The Service, including its underlying software, models, design, and documentation, is the property of Sharestead AI or its licensors and is protected by applicable intellectual property laws. Except for the limited rights expressly granted to you under these Terms, no other rights or licenses are granted, whether by implication, estoppel, or otherwise.

8. Confidentiality

Each party agrees to protect any non-public information disclosed by the other party in connection with the Service using a reasonable standard of care, and to use such information only for purposes contemplated under these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Disclaimers

To the fullest extent permitted by law, Sharestead AI disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Sharestead AI does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, and does not warrant the accuracy, reliability, or completeness of any output generated by the Service.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Sharestead AI and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service, regardless of the theory of liability, even if advised of the possibility of such damages. Sharestead AI's total aggregate liability arising out of or related to these Terms shall not exceed the amount paid by you to Sharestead AI for the Service in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Sharestead AI and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any applicable law or third-party right.

12. Termination

Either party may terminate access to the Service in accordance with the terms of an applicable commercial agreement, or, where no such agreement exists, with reasonable written notice. Sharestead AI may suspend or terminate access immediately in cases of suspected violation of these Terms, security risk, or non-payment. Upon termination, your right to use the Service ceases immediately, though provisions relating to intellectual property, confidentiality, disclaimers, limitation of liability, and indemnification shall survive.

13. Third-Party Services

The Service may integrate with or rely upon third-party tools, infrastructure, or data sources. Sharestead AI is not responsible for the availability, accuracy, or performance of third-party services, and your use of such integrations may be subject to additional third-party terms.

14. Governing Law and Disputes

These Terms shall be governed by the laws applicable in the jurisdiction in which Sharestead AI is established, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, unless otherwise required by applicable mandatory law. 15. Changes to the Service or Terms

Sharestead AI may modify, suspend, or discontinue any part of the Service at any time, and may revise these Terms periodically. 16. Severability and Entire Agreement

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. These Terms, together with any applicable order form, commercial agreement, and the Privacy Policy, constitute the entire agreement between you and Sharestead AI regarding the Service, superseding any prior understandings or agreements on the same subject matter.
